Terms of Service

These terms govern your use of the websites, software and agents, including Hum, APIs, and expert programs (together, the "Services") that Metaphi, Inc. ("Metaphi AI", "we", "us") provides. By using the Services you agree to them. If you use the Services for an organization, you agree on its behalf and confirm you have the authority to do so, and "you" means both you and the organization. If you have a signed agreement with us, that agreement controls where the two differ.
1. Eligibility and accounts
You must be at least 18 to use the Services. Keep your credentials confidential; you are responsible for what happens under your account. Tell us at legal@metaphi.ai if you believe your account has been compromised. We may suspend an account we reasonably believe is compromised or in breach of these terms.
2. Expert contributions
Experts author, review and annotate tasks, solutions and environments for our datasets and benchmarks. If you take part, you agree to follow the guidelines and quality standards we communicate, and to represent your identity and qualifications truthfully. Pay rates, schedules and methods are set in the agreement or onboarding terms for your engagement. We may decline, return for revision, or leave unpublished work that does not meet our standards.
By submitting tasks, reviews, solutions, code or other material through an expert program ("Contributions"), you grant Metaphi AI a perpetual, irrevocable, worldwide, royalty-free, sublicensable license to use, reproduce, modify, publish, distribute and build on your Contributions to create, publish and operate datasets, benchmarks, environments and models, and for related research. You confirm you have the right to grant this license and that your Contributions do not infringe anyone's rights. Contributions that form part of a published dataset remain in it after your engagement or account ends.
3. Your content
Other than Contributions, you own the content you bring to the Services: prompts, files, repositories you connect, and messages you send our agents. You grant us the license needed to run the Services for you, including to process that content with our infrastructure and model providers, and to study session records to improve the Services as our privacy policy describes. We do not use your content to train models made available to anyone other than you. You are responsible for having the rights to the content you bring and for what you do with what the Services produce.
4. Acceptable use
You will not:
- break the law or infringe the rights of others;
- upload malicious code, or try to get around security, access controls or rate limits;
- interfere with the Services or their infrastructure;
- scrape or access the Services by automated means without our written permission;
- reverse engineer the Services, except where the law allows it;
- extract, reproduce or redistribute unpublished tasks, solutions, or code and data that we license from third parties, or try to identify their source;
- use published datasets or results outside the license that accompanies them.
5. Intellectual property
The Services, and the models, software, environments and infrastructure behind them, belong to Metaphi AI and our licensors. Datasets, benchmarks and results that we publish belong to Metaphi AI; use them under the license published with each release, and where none is stated, all rights are reserved. If you send us feedback, we may use it without obligation to you. Evaluation results are provided for research and information; we do not guarantee that a score or ranking is accurate or reproducible, and results may change as benchmarks change.
6. Confidentiality
Through the Services you may see information we have not published: tasks, solutions, criteria, code and data licensed from third parties, unreleased results, and how the Services work. Keep it confidential, use it only for your authorized use of the Services, and do not disclose it. This duty survives the end of your account or these terms, and adds to any non-disclosure agreement between us.
7. Third-party services
The Services run on and connect to third-party services: cloud infrastructure, model providers, Slack, GitHub, and others listed on our sub-processors page. Your use of those services is governed by their terms. We are not responsible for them, and their outages may affect the Services.
8. Changes to the Services
We may change, suspend or discontinue any part of the Services at any time. We may end or suspend your access for breach of these terms or where the law requires. You may close your account at any time by writing to us. On termination your right to use the Services ends; Sections 2, 3, 5, 6, 9, 10, 11 and 12 survive.
9. Disclaimers
The Services are provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not promise that the Services will be uninterrupted, error-free or secure, or that outputs, scores or rankings will be accurate.
10. Limitation of liability
To the fullest extent the law allows, Metaphi AI and its officers, directors, employees and agents are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising from the Services or these terms. Our total liability for all claims is limited to the greater of the amount you paid us in the twelve months before the claim and one hundred US dollars.
11. Indemnification
You will defend and indemnify Metaphi AI and its officers, directors, employees and agents against claims, damages and costs, including reasonable legal fees, arising from your Contributions or content, your use of the Services in breach of these terms, or your breach of the law or the rights of others.
12. Disputes and governing law
Delaware law governs these terms, without regard to its conflict-of-law rules. Before bringing a claim, write to legal@metaphi.ai and give us 30 days to resolve it informally. Any dispute not resolved that way is settled by binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association, held in Wilmington, Delaware. Claims proceed individually; you waive any right to take part in a class action or class arbitration. Either party may seek an injunction in court to protect its intellectual property or confidential information. Any court action not subject to arbitration is brought in the state or federal courts in Delaware.
13. General
You will comply with US export control and sanctions law and confirm that you are not in an embargoed country or on a restricted party list. If a provision of these terms is unenforceable, the rest stays in force. These terms, our privacy policy, and any signed agreement between us are the entire agreement about the Services. We may update these terms; for material changes we will give notice by email or on the Services at least 30 days before they take effect, and your continued use after that date is acceptance.
